A primary emphasis is on methods for interpreting contract provisions and the underlying statutory provisions, usually during the performance phase of contracts. The problems confronted in the course are somewhat broader than those arising in the Sales course. In addition, they often arise in transactional and counseling settings and the material lends itself to considering the role of lawyers in these situations, as distinguished from their roles as litigators.

NEW DESCRIPTION FOR THIS SEMESTER: Building upon the principles of corporation law and policy learned in the Business Organizations course, this course will prepare students to understand and draft documents memorializing various business transactions and relationships. Examples of transactions and relationships include client letters and memos, entity formation, licensing agreements, bridge loan documents, service agreements and founder and employment agreements. The course will build around the formation and on-going maintenance of a business entity and require mastery of fundamental skills and abilities that include: understanding key components of various transactions and their legal structures; identification of various transactional approaches to address specific client needs; development of analytic, reasoning, negotiation and writing skills; and mastery of the core legal principles for the transactions studied. No special background in corporate law other than Bus Orgs is necessary, but a strong interest in the field is very helpful. A background in finance or accounting is not required but comfort with numbers is important. This course is oriented towards students who plan to practice corporate law either at a law firm or as in-house counsel. Pre-requisite: Business Organizations (248). The lessons learned in this clinic will be invaluable for any students who expect to practice in the criminal justice system.
