Brief study of agency, partnership and limited liability companies, focusing chiefly on the investor's potential personal liability and right to participate in enterprise control.  Intensive investigation of the structure and characteristics of the modern business corporation, both the large, publicly held enterprise and the small, closed-ownership, group-type business. Promotion and organization of corporations, distribution of power between management and shareholders and the manner in which such power may be exercised, limitations on corporation powers imposed by the fiduciary principle and by federal regulation, and enforcement of corporate duties through shareholders' derivative suits and other actions.
