This case and State Bank of Young America v. Wagener consider the requirement of UCC 9-203 (b)(2) that the debtor have "rights in collateral" in order for a security interest to be enforceable against the debtor. The Commercial Code, full of useful definitions, does not define some words or phrases. "Rights in collateral" is undefined. Often, the absence of definition is deliberate, reflecting a decision to permit evolution of meaning through case law development.
