Attorney's fees

In any legal or equitable action brought by either party to this Agreement to enforce its terms, the prevailing party shall be entitled to all costs incurred in connection with such action, including reasonable attorney's fees.

    Note that many attorney's fees clauses provide for the recovery of attorney's fees only by one of the parties.  For example:

In any legal or equitable action brought by Bank to enforce the terms of this agreement, Bank shall be entitled to all costs incurred in connection with such action, including reasonable attorney's fees (emphasis added).

    In California, Cal. Civ. Code 1717 automatically converts such a "one way" attorney's fees provision into a reciprocal attorney's fees provision and also instructs the court on how to determine who is the prevailing party, a question not always free of doubt.
