A transaction may be cast in the form of a lease but in substance amount to a sale in which the purchase price is secured by the item(s) being sold. Article 9, which became effective in the District of Columbia after execution of the contracts under consideration in this case, elevates the substance over the form. See Revised U.C.C. 9-109(a)(1), U.C.C. 1-201(37)(b), and Commentary.Personal property leases.  Had the characterization of these contracts as leases or disguised security interests mattered to the outcome, we have little doubt that Judge Wright would have seen through the form to the substance.
